The Agreement Behind Your Membership

The complete agreement governing your use of Lifrica's products and services — including subscription plans, acceptable use, API access, and your rights as a user.

These Terms and Conditions ("Terms") govern your access to and use of Lifrica ("Platform", "Services"), operated by TGCX Fintech Private Limited ("Company", "we", "us" or "our"), a company incorporated under the laws of India with CIN: U66190GJ2024PTC152724 and having its registered office at 304, Venus Benecia Pakvan, S.G. Highway, Bodakdev, Ahmedabad, Gujarat - 380054, India.

By creating an account, purchasing a membership, using a Lifrica card, booking travel or otherwise accessing the Platform, you ("Member", "you" or "your") confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree with any part of these Terms, you must stop using the Services.

We may update these Terms from time to time. Where a change materially affects your rights, we will give you notice through the Platform or by email before it takes effect. Continuing to use the Services after a change takes effect means you accept the revised Terms.

01.Definitions

In these Terms, the following words carry the meanings set out below unless the context requires otherwise.

  • Membership: a paid or free plan that gives you access to Lifrica benefits, reward multipliers and member-only features for a stated term.
  • Points: the loyalty units credited to your rewards balance for eligible spends, travel bookings, membership activity and promotions.
  • Card: any physical or virtual payment card issued to you by our banking or card-issuing partner and linked to your Lifrica account.
  • Partner: a bank, card issuer, travel supplier, merchant, payment processor or other third party we work with to deliver the Services.
  • Content: any text, image, data, rate, price or other material made available on or through the Platform.

02.Eligibility

To open a Lifrica account and use the Services, you must meet all of the following conditions.

  1. You are at least 18 years of age and competent to contract under the Indian Contract Act, 1872.
  2. You are not barred from receiving the Services under any applicable law, sanctions programme or regulatory direction.
  3. The information you provide at registration is true, current and complete, and you will keep it up to date.
  4. You complete any identity verification, KYC or documentation that we or our Partners are required to collect before a membership, card or payout can be activated.

We may decline, suspend or withdraw access where eligibility cannot be established or where verification remains incomplete.

03.Your Account

Your account is personal to you. You are responsible for everything that happens under it, including activity by anyone you allow to use your device or credentials.

  • Keep your password, OTPs and device secure, and never share them with anyone — including someone claiming to be from Lifrica.
  • Tell us immediately at support@lifrica.com if you suspect unauthorised access, a lost device or a compromised card.
  • Do not create more than one account for yourself, transfer your account to another person, or open an account on someone else's behalf without authority.

We may ask you to re-verify your identity, reset your credentials or temporarily restrict access where we reasonably believe your account security is at risk.

04.Membership Plans and Fees

Membership plans, their benefits, reward multipliers, limits and fees are described on the Platform at the time you subscribe. Those plan details form part of these Terms.

Fees and taxes

Membership fees are stated inclusive or exclusive of applicable taxes as shown at checkout. Taxes, levies and statutory charges are payable by you in addition to the fee where they are shown separately. Fees are charged in Indian Rupees unless the Platform states otherwise, and your bank or card issuer may apply its own conversion or transaction charges.

Term and renewal

A membership runs for the term you select and renews automatically at the then-current fee unless you cancel before the renewal date. We will notify you before a renewal charge where required by law or by your card network's mandate rules. You can turn off auto-renewal at any time from your account settings.

Changes to plans

We may add, change or withdraw plans, benefits and partner offers. Where a change reduces a material benefit of your current plan, we will give you reasonable notice and, where required, the option to cancel and receive a pro-rata refund for the unused period.

05.Cancellation and Refunds

Cancellation and refunds are governed by these Terms together with our Cancellation Policy and Refund Policy, which apply to membership fees, travel bookings and partner purchases respectively.

  • You may cancel a membership at any time; cancellation stops future renewals and takes effect at the end of the paid term.
  • Fees already paid are non-refundable except where these Terms, the Refund Policy or applicable law provide otherwise.
  • Travel bookings, gift cards and partner redemptions follow the supplier's own cancellation rules, which are shown to you before you confirm.
  • Approved refunds are made to the original payment method and may take up to the timelines published in the Refund Policy to reach you.

06.Rewards and Points

Points are a benefit of your membership. They are not money, not a deposit, not a security and not your property, and they carry no cash value until they are redeemed in line with these Terms.

  • Earning: Points are credited for eligible transactions at the rate published for your plan. Earning rates, caps and eligible categories can change prospectively, and we will publish any change on the Platform.
  • Posting: Points normally post to your balance once the underlying transaction settles. A transaction that is pending, disputed, reversed or refunded may be excluded, and points already credited for it may be clawed back.
  • Redemption: You can redeem points through the redemption options available on the Platform at the time. Availability, partner inventory and redemption values may change.
  • Transfer: Points are non-transferable and cannot be sold, bartered or pooled outside the features we provide for that purpose.
  • Adjustment: We may reverse or cancel points that were credited in error, obtained through abuse, or connected to a fraudulent, cancelled or non-genuine transaction.

If your membership ends or your account is closed, unredeemed points lapse at closure unless the plan terms or applicable law state otherwise.

07.Cards and Payment Instruments

Lifrica cards are issued by our regulated banking and card-issuing Partners, not by the Company. Your use of a card is additionally governed by the issuer's cardholder agreement and by the rules of the relevant card network.

  • Card approval, credit or load limits, forex mark-ups and interchange terms are set by the issuer and are shown to you before you apply.
  • Disputed or fraudulent transactions must be raised with the issuer through the process notified to you; we will help you route the request but we do not decide chargebacks.
  • Where the issuer blocks, replaces or withdraws a card, the linked Lifrica benefits tied to that card may pause until a replacement is active.

08.Travel Bookings

Travel content — flights, stays, transfers and experiences — is supplied by airlines, hotels, aggregators and other travel Partners. We act as a booking facilitator and are not the provider of the travel service itself.

  • The supplier's fare rules, baggage terms, cancellation and date-change charges apply to your booking, and you accept them when you confirm.
  • Prices, taxes and availability are live and can change until the booking is confirmed and ticketed.
  • Visas, passports, health requirements and travel insurance remain your responsibility.
  • Where a supplier cancels, reschedules or fails to provide a service, your remedy is against that supplier; we will pass on and support your claim but do not underwrite it.

09.Acceptable Use

When you use the Services, you agree not to:

  • break any applicable law, or use the Platform for money laundering, terrorist financing, tax evasion or any other unlawful purpose.
  • manufacture spend, run circular or non-genuine transactions, or otherwise game the rewards programme to earn points you would not earn in ordinary use.
  • impersonate another person, use false details, or misuse someone else's card, account or identity documents.
  • scrape, crawl, reverse engineer, decompile, probe or stress-test the Platform, or bypass any security or rate-limiting measure.
  • upload malware, interfere with the Platform's operation, or attempt to access data you are not authorised to see.
  • resell, sublicense or commercially exploit the Services, Content or member benefits without our written consent.

Breaching this clause may lead to reversal of points, suspension or closure of your account, forfeiture of benefits and reporting to law enforcement or regulators.

10.Intellectual Property

The Platform, its software, design, trademarks, logos and Content are owned by the Company or licensed to us, and are protected by intellectual property laws. Nothing in these Terms transfers ownership to you.

We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Platform for your own membership purposes. You may not copy, modify, distribute or create derivative works from it beyond what these Terms allow.

If you send us feedback, ideas or suggestions, you grant us a perpetual, royalty-free right to use them to improve the Services, without obligation to you.

11.Communications and Notices

By using the Services, you agree to receive transactional communications — verification codes, payment and renewal notices, booking confirmations, points statements, security alerts and service updates — by in-app notification, SMS, email, WhatsApp or call. These are part of the Services and cannot be opted out of while your account is active.

Marketing communications are separate. You can opt out of them at any time from your notification settings or by using the unsubscribe link in the message, without affecting your membership.

12.Suspension and Termination

You may close your account at any time from your account settings or by writing to support@lifrica.com. Closure ends your membership at the end of the paid term unless the Refund Policy provides otherwise.

We may suspend or terminate your access, with notice where practicable and immediately where the risk requires it, if:

  • you breach these Terms or any policy incorporated into them;
  • we reasonably suspect fraud, abuse of the rewards programme, or activity that puts other members or our Partners at risk;
  • we are required to do so by a law, regulator, court or Partner; or
  • your membership fee remains unpaid after we have asked you to settle it.

On termination, your right to use the Services stops, unredeemed points lapse, and clauses that by their nature should survive — including intellectual property, liability, indemnity and governing law — continue to apply.

13.Disclaimers

The Services are provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free or secure at all times, or that any particular benefit, partner offer, fare or redemption option will remain available.

Content on the Platform is for general information and does not constitute financial, tax, legal or investment advice. Rates, point values and illustrative savings shown in calculators are estimates, not guarantees of outcome.

We are not responsible for the acts or omissions of Partners, or for goods and services you buy from a merchant using a Lifrica card or points.

14.Limitation of Liability

To the fullest extent permitted by law, the Company, its directors, employees and Partners will not be liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, goodwill, data, opportunity or anticipated savings, arising out of or connected with your use of the Services.

Our total aggregate liability to you for all claims arising in any twelve-month period is limited to the membership fees you actually paid to us during that period, or INR 5,000, whichever is higher.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by our negligence.

15.Indemnity

You agree to indemnify and hold the Company, its officers, employees and Partners harmless from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, your violation of any law, or your infringement of a third party's rights.

16.Force Majeure

We may not be able to perform our obligations where an event outside our reasonable control prevents it — including acts of God, natural disaster, epidemic, war, civil unrest, strike, fire, flood, power or telecom failure, cyber attack, or a change in law or regulatory direction. Our obligations are suspended for the duration of such an event, and we will resume performance as soon as reasonably practicable.

17.Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to the clause below, the courts at Ahmedabad, Gujarat have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Before commencing proceedings, both of us will try in good faith to resolve the dispute informally by writing to the contact addresses in these Terms. A dispute not resolved within thirty days may be referred to arbitration by a sole arbitrator appointed by the Company under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Ahmedabad, Gujarat, and the proceedings will be conducted in English.

18.Grievance Redressal

In line with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000 and the rules made under it, you can raise a complaint about the Services with our Grievance Officer.

19.General

These Terms, together with the Privacy Policy and the plan details shown at purchase, form the entire agreement between you and the Company for the Services.

  • Severability: if a clause is found unenforceable, the rest of these Terms continue in force.
  • Waiver: a delay or failure to enforce a right is not a waiver of that right.
  • Assignment: you may not assign your rights under these Terms; we may assign ours to a group company or successor on notice to you.
  • Language: if these Terms are translated, the English version prevails in case of conflict.
